Flat-footed AC is when you are caught unawares, or are unable to move, and can't move out of the way of it. Thus, AC bonuses from agility don't apply, such as Dexterity and Dodge. You still apply Armor, Natural Armor, Shield, Size, and Deflection. TL;DR: Armor, Shield, and Natural armor don't apply to Touch.
